Terms of Service

1. Who we are and what these terms cover

EdgeMarket ("EdgeMarket", "we", "us") operates the website at edgemarket.app and the market data platform available to registered account holders (together, the "Service"). These Terms of Service (the "Terms") form a binding agreement between you and EdgeMarket and govern all access to and use of the Service. If you do not accept them, do not use the Service.

By creating an account, accessing the platform or paying for a subscription, you confirm that you have read, understood and accepted these Terms, ourPrivacy Policy and our Risk Disclosure.

2. What the Service is — and what it is not

The Service aggregates and displays publicly available and licensed market information: prices, corporate filings, institutional holdings, insider transactions, economic series, calculated indicators and similar material. It is a research and information tool intended for your own independent analysis.

The Service is not, and must not be treated as:

• investment advice, financial advice, tax advice or legal advice;
• a personal recommendation, or advice on the suitability of any instrument for you;
• an offer, solicitation or inducement to buy, sell or hold any financial instrument;
• portfolio management, order execution, brokerage or any other regulated investment service;
• a substitute for professional advice from a licensed adviser.

EdgeMarket is not authorised or regulated by CONSOB, ESMA, the SEC, the FCA or any other financial supervisory authority, and does not carry on any activity requiring such authorisation. Any figure, ranking, screen, backtest, score, alert or indicator produced by the Service is a mechanical calculation on historical data, not a judgement about what you should do.

3. No reliance — your decisions are yours

You are solely responsible for every decision you take. You must carry out your own research and, where appropriate, obtain independent professional advice before acting. You acknowledge that you do not rely on the Service, on any figure it displays, or on any communication from us, as the basis for any investment decision, and that we owe you no duty of care in relation to such decisions.

Past performance is not an indicator of future results. Backtested or simulated results are hypothetical, carry inherent limitations, do not reflect trading costs, slippage, liquidity, taxes or the discipline required to follow a strategy, and do not represent results that any person actually achieved.

4. Accuracy of data — provided "as is"

Market and reference data is obtained from third-party sources, including exchanges, brokers, regulators, central banks and public registries. We do not create most of this data and we cannot verify it independently.

You expressly acknowledge and accept that data may be:

• inaccurate, incorrect, corrupted or mislabelled;
• delayed, and in no case should be assumed to be real-time;
• incomplete, missing instruments, days or entire periods;
• subject to revision, restatement or withdrawal by the original source;
• temporarily or permanently unavailable.

The Service, including all data, calculations and derived indicators, is provided"as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any warranty of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose or non-infringement, to the maximum extent permitted by applicable law.

We do not undertake to correct errors, to notify you of them, or to maintain any particular level of coverage, frequency or availability.

5. Accounts

You must be at least 18 years old and legally capable of entering into a contract. You must provide accurate registration information, keep your credentials confidential, and you remain responsible for all activity carried out under your account. Accounts are personal: you may not share, sell, sub-licence or transfer access.

Notify us at info@edgemarket.app without delay if you suspect unauthorised use.

6. Plans, credits, billing and cancellation

Paid plans are billed in advance, monthly or annually, through Stripe. Credits are added each billing cycle and remain available while the subscription is active. Prices are shown before purchase and may change for future periods with notice.

You may cancel at any time from the billing portal; access continues to the end of the period already paid for. Except where mandatory consumer law provides otherwise, payments are non-refundable and unused credits have no cash value and are not refundable.

Consumers in the European Union: where you have a statutory right of withdrawal, you acknowledge that by requesting immediate access to digital content you agree that supply begins at once and that the right of withdrawal is lost once performance has begun, to the extent permitted by law.

7. Acceptable use and data restrictions

You may use the Service for your own internal research. You may not:

• redistribute, resell, republish or make available to third parties any data obtained from the Service, in whole or in part. Parts of the data are licensed to us on terms that expressly forbid redistribution, and this restriction survives termination of your account;
• scrape, crawl or systematically extract data, or circumvent rate limits, access controls, authentication or billing;
• use the Service to build or train a competing product, dataset or model;
• use the Service unlawfully, including for market manipulation, insider dealing, or in breach of any sanctions or export controls;
• attempt to gain unauthorised access to any part of the Service or its infrastructure.

We may suspend or terminate access immediately for breach of this section.

8. Intellectual property

The Service, its software, interface, design, calculated indicators and compilation of data are owned by EdgeMarket or its licensors and are protected by intellectual property law. Underlying data remains the property of its respective sources. Nothing in these Terms transfers ownership to you; you receive a limited, personal, non-exclusive, non-transferable and revocable licence to use the Service in accordance with these Terms.

9. Third-party services and links

The Service depends on third parties (including data providers, Firebase for authentication, Stripe for payments and Telegram for optional alerts) and may link to third-party sites. We are not responsible for their content, availability, accuracy or practices, and their own terms apply to your use of them.

10. Availability and changes to the Service

We do not guarantee uninterrupted or error-free operation. We may modify, suspend, restrict or discontinue any part of the Service, including individual datasets or features, at any time. Where a change is material and adverse and you hold a paid plan, we will give reasonable notice where practicable.

11. Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any mandatory statutory rights of consumers.

Subject to that, to the maximum extent permitted by applicable law:

• we are not liable for any trading or investment loss, loss of profit, loss of opportunity, loss of anticipated savings, loss of data, business interruption, or any indirect, special, incidental, consequential or punitive damages, however arising, even if we were advised of the possibility;
• we are not liable for any loss arising from inaccurate, delayed, incomplete or unavailable data, from errors in any calculation or indicator, or from your reliance on the Service;
• our total aggregate liability for all claims relating to the Service is limited to the amounts you actually paid to us in the twelve (12) months preceding the event giving rise to the claim, or EUR 100 if you paid nothing.

12. Indemnity

You agree to indemnify and hold harmless EdgeMarket and its operator against any claim, liability, damage, loss or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, your redistribution of data, or your violation of any law or third-party right.

13. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law or by a data provider, or if continued provision poses a legal or security risk. On termination, your licence to use the Service ends immediately; sections 4, 7, 8, 11, 12 and 15 survive.

14. Changes to these Terms

We may update these Terms. The "last updated" date above will change and, for material changes, we will notify account holders through the Service or by email. Continued use after the effective date constitutes acceptance. If you do not accept, stop using the Service and cancel any subscription.

15. Governing law and jurisdiction

These Terms are governed by the laws of Italy, excluding conflict-of-law rules. The courts of Italy have exclusive jurisdiction over any dispute, save that a consumer resident in the European Union may also bring proceedings in, and benefit from the mandatory consumer protections of, their country of residence. Consumers may also use the European Commission's Online Dispute Resolution platform.

16. General

If any provision is held invalid, the remainder stays in force. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with the Privacy Policy and Risk Disclosure, are the entire agreement between us.
